Terms of Service

By accessing or using Vivian, you agree to these Terms of Service and our Privacy Policy. You also represent that you are authorized by your organization to use Vivian for business purposes. If you do not agree, do not access the service or connect a Google account.

If your organization has a separate written agreement with Vivian Capital Group covering the service, that agreement controls to the extent it conflicts with these terms.

Vivian is a private operations platform that provides authorized organizations with shared inbox, communication, workflow, pipeline, document, calendar, task, collaboration, and reporting features. It is not offered for public or consumer registration.

Features and integrations may change as the platform is maintained. We may add, modify, suspend, or discontinue a feature when reasonably necessary for security, legal compliance, provider compatibility, or operation of the service.

• Access is limited to users invited by an authorized administrator, assigned a membership, or admitted through an approved business email domain.
• Users must sign in with their own approved Google account and may not share credentials or sessions.
• Each organization is responsible for its users, role assignments, mailbox approvals, and timely removal of people who should no longer have access.
• Vivian Capital Group administrators may administer affiliated sister organization workspaces as part of operating the corporate group and the service.

Google Sign-In is used to authenticate users. Gmail and Google Calendar are optional, separately authorized integrations. Connecting Gmail may allow Vivian to read, compose, send, and organize messages for the connected account so that the organization can use the shared-inbox features described in the service and Privacy Policy.

You may connect only an account or mailbox that you are authorized to connect and share with the users who will have access to the applicable workspace. You are responsible for complying with your organization's confidentiality, recordkeeping, consent, and acceptable-use rules when sending or filing communications through Vivian.

Google services are provided by Google under Google's own terms. We do not control their availability, security controls, or changes to their APIs. You may disconnect an integration in Vivian and revoke its grant through your Google Account.

You must not use Vivian to:

• access another organization's data without authorization;
• send unlawful, deceptive, abusive, or unsolicited communications;
• upload malware, attempt to bypass security controls, probe the service, or interfere with another user;
• scrape, resell, sublicense, or provide the service to an unauthorized third party;
• copy or reverse engineer the service except where applicable law expressly permits it; or
• use the service or Google user data in a way that violates law, Google's applicable policies, or the rights of another person.

As between Vivian Capital Group and an authorized organization, the organization retains its rights in the business records, messages, documents, and other content it submits or connects to the service. The organization grants us permission to process that information only as needed to operate, secure, support, and improve the service and as described in the Privacy Policy.

Users must treat workspace information as confidential business information and may disclose it only as authorized by the organization that owns the workspace. Users are responsible for verifying recipients, attachments, and sender mailboxes before sending a message.

Vivian organizes information and workflow for authorized business users. Users and their organizations remain responsible for reviewing source information, correcting errors, obtaining required consents, and making their own legal, compliance, underwriting, funding, and other business decisions. Vivian does not provide legal, tax, accounting, or regulatory advice.

Vivian Capital Group and its licensors retain all rights in the service, including its software, design, documentation, and branding. These terms provide only a limited, revocable, non-transferable right to use the service for authorized internal business purposes.

If you provide feedback, you permit us to use it without restriction or compensation, provided that we do not publicly identify you as its source without permission.

We may suspend or terminate access when a user is no longer authorized, violates these terms, creates a security or legal risk, or when an organization instructs us to do so. A user may stop using Vivian at any time. Organization administrators may request account or workspace closure subject to applicable contractual, legal, and record-retention obligations.

To the maximum extent permitted by law, Vivian is provided “as is” and “as available.” We do not warrant uninterrupted operation, that every provider synchronization will be immediate or complete, or that the service will meet every organization's legal or operational requirements. Nothing in these terms excludes a warranty or right that cannot lawfully be excluded.

To the maximum extent permitted by law, Vivian Capital Group and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity arising from use of the service. Any additional liability terms in an organization's written agreement with Vivian Capital Group will control.

We may update these terms to reflect changes to the service, provider requirements, security practices, or law. We will publish the revised terms here, update the date above, and provide additional notice when required. Continued use after the effective date constitutes acceptance of the revised terms.
